Mainland or Free Zone? How to Choose the Right UAE Company Setup
Every founder setting up in the UAE eventually asks the same question: mainland or free zone? The honest answer is that it depends on what the business actually needs to do, not on which option sounds more prestigious or is currently being marketed hardest. Below is the framework we use to think it through.
Start with where you need to trade
Free zone companies are generally well suited to businesses trading internationally, providing services outside the UAE, or operating within their zone's ecosystem. Mainland companies have more direct flexibility to trade across the wider UAE market and take on government and larger commercial contracts without additional structuring.
If your customers are primarily UAE-based commercial or government entities, mainland is usually the simpler starting point. If your business is service exports, holding structures, or zone-specific activities (media, tech, logistics hubs), a free zone is often the better fit.
Then look at your activity list
Not every activity is available in every free zone, and some activities are mainland-only or require specific approvals regardless of jurisdiction. Confirming your actual activity list against what's licensable where you're planning to set up should happen before you pick a jurisdiction, not after.
Factor in office, visa and cost structure
Free zones typically bundle office requirements and visa quotas into their packages, which can be cost-effective for small teams but restrictive as headcount grows. Mainland office and visa requirements are more flexible but come with their own cost profile. Neither is inherently cheaper — it depends on your team size and growth plan over the next two to three years, not just the setup fee.
This is a business decision, not just a compliance one
It's worth treating this choice with the same rigour as any other structural business decision, because reversing it later — moving from free zone to mainland or between free zones — is possible but adds cost, time and disruption that's easier to avoid upfront.
